Changes to EastendHomes Memorandum and articles of Association

Over the past two years EastendHomes has been reviewing the Memorandum and Articles of Association of the company : These are the main constitutional documents which set out the governance rules of the organisation.

This exercise has been an important part of an ongoing review of EeH governance framework, intended to update key documents and arrangements to reflect good practice in the sector and address the expectations of the social housing regulator, the HCA (Homes and Communities Agency) with regard to the number of Board members and length of time they may serve on the Board.

You will have seen information about the proposed changes in EastendHomes resident newsletters, and you may also have attended one of the local estate board or other consultation meetings held to discuss the proposed changes.

Following earlier approval by EastendHomes Board to the proposals, on the 17th July 2014 an extraordinary meeting of EastendHomes adopted a new Memorandum and Articles of Association, with a number of amendments which included a change to the provisions for membership of the company, which will now comprise the members of the Board of EeH and the EeH member appointed by Tower Hamlets council.

A further set of revised Articles of Association were then considered at a reconvened extraordinary meeting of EeH held on 31st July 2014, with changes which would have amended the Articles to specify that the size of the EeH Board would be reduced from 18 to 12 members and that Board members should serve a maximum term of 9 years on the Board. Although these further changes were not agreed by the meeting, the EeH Board has approved policies that will enable compliance with the expectations of the HCA with regard to limiting the size of the Board to 12 members and setting a 9 year maximum term for Board members.
